Service Terms and Conditions

CUSTOM CODING - TERMS AND CONDITIONS

This Terms and Conditions agreement ("Agreement") is made effective upon acceptance by the Client and governs the provision of services by:

("Contractor")

The Client as identified in the accepted proposal and/or invoice.
("Client")

Together referred to as "the Parties."

1. SERVICES

The Contractor will provide one-off project-based services including, but not limited to: AI integration, custom software development, SaaS setup, consulting, training, data strategy, and data analysis. Optional ongoing support or maintenance may be agreed upon separately.

2. ENGAGEMENT

Client engagements are initiated upon acceptance of a written proposal and/or quote issued by the Contractor.

3. TERM

This Agreement takes effect upon acceptance by the Client and continues until the completion of the agreed services, unless terminated earlier in accordance with this Agreement.

4. PAYMENT TERMS
  • Services are billed on a project or hourly basis as outlined in the proposal.

  • Payment is required as follows:

    • 50% of the total quote or $2,000 (whichever is greater) is payable before commencement.

    • The balance is payable on completion or in $2,000 instalments linked to defined milestones.

  • All prices are in AUD and subject to GST.

  • No refunds will be issued after the initial payment.

  • Payments are made via direct bank transfer.

5. INTELLECTUAL PROPERTY
  • The Contractor retains ownership of all intellectual property, source code, frameworks, models, and techniques developed during the course of the project.

  • The Client receives a non-exclusive, perpetual license to use the final delivered product for internal business purposes.

  • The Contractor may reuse, adapt, or build upon components of the solution for other clients, provided no confidential Client data is reused or disclosed.

6. CONFIDENTIALITY

Each party agrees to maintain confidentiality over all sensitive or proprietary information shared during the engagement.

7. THIRD-PARTY TOOLS

The Contractor may use third-party AI platforms (e.g. OpenAI, AWS, Azure) in solutions provided. The Client acknowledges that such tools may be subject to separate terms and limitations.

8. WARRANTIES
  • The Contractor warrants that it has the skills and authority to provide the services.

  • The Client warrants that it will provide accurate information and full cooperation.

9. LIMITATION OF LIABILITY
  • Services are provided "as is" and "as available."

  • To the maximum extent permitted by law, the Contractor disclaims all warranties not explicitly stated and shall not be liable for any indirect, incidental, or consequential loss.

10. TERMINATION

Either party may terminate with 30 days’ written notice. On termination:

  • All unpaid fees become due immediately.

  • Any granted licenses shall survive, but no refund is payable.

11. DISPUTE RESOLUTION
  • Parties agree to attempt to resolve disputes in good faith.

  • If unresolved within 10 business days, the matter must be referred to mediation in Victoria under the rules of the Resolution Institute.

  • If still unresolved after 20 business days, litigation may be initiated.

12. GOVERNING LAW

This Agreement is governed by the laws of the State of Victoria, Australia.

13. GENERAL
  • This Agreement constitutes the entire agreement between the parties.

  • Modifications must be in writing.

  • If any clause is found invalid, the remainder shall remain in effect.

  • The Client agrees to these Terms and Conditions by accepting a quote, signing a proposal, or initiating work with the Contractor.
